President's Letter

It's hard to believe that this Chapter year is almost over. It has been a quick 10 months of activity with much accomplished:

  • Over 2400 participants attended more than 140 hours of continuing professional education (CPE) credit, including two CIA review courses and six all-day seminars (one free seminar during May)!
  • The Dallas IIA Student Chapter started at the University of Texas at Dallas’ new Endorsed Internal Audit Program.
  • Community service project with University of North Texas students auditing Dallas Can Academy.
  • Open house and golf outing with UTD internal audit students.
  • Planned 2004 Regional Conference to be held September 12-15.
  • Submitted research paper on "Viewing Organizational Trust and Internal Auditing."

All-in-all a very good year for the Dallas Chapter!

The 2004 Regional Conference, hosted by the Dallas Chapter, is fast approaching. There is still time to cash in on the early bird discount - you save $50 by registering before August 1. The program promises to be excellent with five different tracks being offered, including the CIA review course as well as an ethics course. During May, we are offering a couple of opportunities for members, including on Friday, May 21, we are hosting the annual Almost Free Seminar: “Behavior and Communication Skills,” presented by Courtenay M. Thompson. Courtenay is always a GREAT speaker.

On TUESDAY (please note the change in day), May 25, we will have our final meeting of this Chapter year. We have a very informative lunch session planned with speakers from the Fort Worth office of the Securities and Exchange Commission. For the pre-meeting, Cynthia Claybrook has agreed to give us an overview of the recently prepared research project. For our post-meeting, we will gather for dessert and socializing with a short program showcasing the different Chapter volunteer opportunities. We will also honor this year’s Chapter volunteers with a special surprise. Hope to see you there!

J. Kevin Edmundson and Toby M. Galloway
SEC

J. Kevin Edmundson, Senior Trial Counsel, and Toby M. Galloway, Trial Counsel, are both with the Fort Worth District Office of the Securities and Exchange Commission. They will give an overview of the SEC enforcement program in the area of financial reporting fraud. Also, they will provide an inside view of the SEC's recent enforcement action against Dynegy, a Houston-based energy trading company, and several of its executives. This discussion will also focus on the parallel criminal action, which resulted in a 24 year sentence against Dynegy's former Senior Director of Tax Planning.

J. Kevin Edmundson joined the Division of Enforcement in Washington, D.C. in 1995 and has worked in the Fort Worth District Office since May 1999. Prior to joining the Commission, he worked for a national law firm in Washington, D.C. from 1990 to 1995. Kevin graduated from the Catholic University School of Law in 1990.

Toby M. Galloway joined the Division of Enforcement in the Fort Worth District Office in 2001. Previously, Mr. Galloway worked for a law firm in Dallas from 1994 to 2001. He graduated from the University of Texas School of Law in 1994.

Kevin and Toby are responsible for litigating cases in federal district court and before SEC administrative law judges. Both Mr. Edmundson and Mr. Galloway have participated in numerous speaking engagements on the topic of security fraud.

Chapter Research Project – Viewing Organizational Trust
and Internal Auditing

Trust is an essential component for business to be conducted. Trust, although intangible, is related to understanding interpersonal and group behavior, managerial effectiveness, economic exchange, and social and political stability. In light of the recent corporate financial scandals of Enron, WorldCom, etc., and the most infamous outcome, Sarbanes-Oxley, organizational trust has become more important than ever. While the passage of SOX does focus some attention on the trust issue, it seems short-sighted to view trust as a byproduct or reaction of SOX, when the implications of trust go far beyond that. While most publicly traded companies and their internal auditing functions have focused on SOX compliance for the past year or so, there are larger trust issues that should be considered. Cynthia Claybrook, author of this year's Dallas IIA Research Project, will share her views on organizational trust for Internal Auditing against the backdrop of corporate compliance with SOX.

COURTENAY M. THOMPSON JR.

Courtenay Thompson is a recognized authority on training and development for internal auditors. Since entering the educational consulting field in 1981, he has written and presented courses for numerous corporations, government and professional associations.

Although best known for training auditors in effectively meeting the challenge of fraud, Courtenay also develops and conducts courses on improving audit effectiveness, behavior and communication skills. He is the co-developer of courses on audit and control of construction costs and health benefits administration. His courses are known for providing practical approaches to real problems encountered by internal auditors.

Mr. Thompson's experience prior to consulting includes public accounting, audit supervisor for consumer financial services for a large retailer, and director of auditing for a life insurance company.

Thompson received his BBA and MBA degrees from Southern Methodist University and is a Certified Public Accountant. He is a member of various accounting and auditing professional associations.

IIA Research Foundation – Update on Research Projects

The Research Foundation has recently issued a report entitled Risk Assessment by Internal Auditors Using Past Research on Bankruptcy - Applying Bankruptcy Models by Wanda A. Wallace. We are aware that well-controlled companies will build an infrastructure that takes the pulse of the parties with whom they transact business. One tool for which they may reach is bankruptcy modeling. This paper summarizes a number of bankruptcy models that have been used in past literature for ease of reference and application by internal auditors and other professionals interested in assessing bankruptcy risk. A companion Microsoft Excel spreadsheet is provided for ease of use.

This report on bankruptcy is provided as a service to members of The IIA. IIA members may reproduce and distribute copies for use within their organizations. The download is free (http://www.theiia.org/iia/index.cfm?doc_id=4619), but the IIA asks that you make a tax-deductible contribution ($40 suggested amount) to The IIA Research Foundation.


Endorsed Internal Audit Program Update at the University of Texas at Dallas – Completes First Year

UTDThis week ends the first year of the EIAP at UTD, which went by very quickly. We have so much more planned for the future; and talking about the future, we have the annual Almost Free Seminar at the UTD School of Management on May 21. With Courtenay Thompson speaking on Behavior and Communication Skills, this will be an outstanding program. If this is your first trip to the new School of Management, we will add a tour of the facility.

At the end of the first year, the Student Chapter is 30 members strong. The students have hosted a number of events including a golf outing, happy hour, two career panels in Internal Audit, members’ resume book, and weekly early morning breakfast meetings. Also, we offered review sessions for the CIA and plan to offer an upcoming CISA review course. The Internal Audit class also finished four audits with the UTD Internal Audit group this year, including one that was focused on IT Audit.

The program will be expanding rapidly this fall with the addition of a number of new courses geared to Internal Audit. These courses are all at the graduate level and will compliment the current program:

  • Analytical Reviews Using Audit Software
  • Forensic Accounting Investigations
  • Ethics for Professional Accountants
  • Corporate Governance and Accounting

Report Your Speaking and Writing

It's time again for the survey to determine which IIA Dallas Chapter members have submitted articles or spoken in April, or earlier if not previously reported. Each speaking engagement on internal auditing that a Dallas Chapter member completes will earn the Chapter 1 credit per CPD hour. Each full article, Roundtable article, Fraud Finding, etc. submitted that meets basic editorial guidelines will earn 5 credits. For each full article published 20 credits are earned. Each internal audit related article published in any other trade or professional journal that is authored by a chapter member is 5 credits.

THE POSITION

We are seeking an auditor that has the ability and capability to lead others. Ideal candidate will have 5 years audit exp within Oil & Gas, Chemicals, Manufacturing, or Big 4, with CPA certification. You will get tons of exposure and the chance to expand your horizons through international travel. This position is located in Oklahoma City, OK.

RESPONSIBILITIES INCLUDE

As an Auditor, you will perform operational, compliance, and financial audits.

  • You will conduct and plan work on assigned audits with your team and be comfortable communicating at all levels from plant personnel to senior management.
  • Verify and analyze information while conducting reviews of organizational and functional activities.
  • Evaluate the adequacy and effectiveness of internal controls.
  • Report audit findings and make recommendations for improvements.
  • Participate in special projects as needed.
  • Conduct US domestic & international audits in Australia, China, Germany, Scotland, and the Netherlands where audit schedules could last for 3 weeks at a time.
  • Train, develop and monitor the performance of new junior auditors.

EDUCATION/QUALIFICATIONS/SKILLS

  • 5 plus years audit experience (industry or public) with manufacturing operations, process controls, or Plant/Refinery audits.
  • Prior experience in supervising or leading audits.
  • Familiarity with different types of audits – purchase to pay cycle, revenue, inventory, payroll, employee benefits. • Experience with specialized audit training in contractor auditing, fraud, health benefits & claims etc.
  • Exposure and comfort level with audit software/various types.
  • Must have college degree. CPA strongly preferred. CIA/CMA is a plus.
  • Proven ability to lead, plan, and perform operational, financial & compliance audits for plants & refineries.
  • Must be inquisitive, analytical, a good negotiator, and unafraid to ask questions and dig for information.
  • Must have supervisory experience, training experience, be capable of directing staff, and possess the social skills necessary to get along well with others.
  • Must show a successful track record of business process improvement.
  • Must be project oriented and comfortable working with deadlines.
  • Minimum 30% domestic and international travel.
  • Bilingual skills preferred though not required.

Internal Audit Director

Position Description
Concentra is pursuing a talented leader with financial and technical expertise to establish an audit function internally at Concentra. The Internal Audit Director is a new, high visibility position that will have ultimate direct reporting responsibilities to Concentra’s Audit Committee of the Board of Directors. In addition to projects initiated by the Audit Committee, the Internal Audit Director will work closely with the CFO on a day-to-day basis and may periodically perform assignments from the CEO and COO.

The primary initial responsibility of the Internal Audit Director will be to manage Concentra’s control environment and facilitate our initial and ongoing Sarbanes-Oxley Section 404 compliance. Over time, the responsibility mix of this position is estimated to be 60% business review and risk management and 40% management of our control environment. This individual will:

1. Establish a group that can reduce risk and provide value-added process efficiency operation enhancements to Concentra’s individual business units and administrative functions.

2. Prepare and present audit reports and risk assessments. Perform, coordinate and evaluate audit work and program updates. Identify emerging issues to our executive management team and the Audit Committee of the Board of Directors.

3. Develop internal audit tracking and reporting mechanisms and ensure root cause determination of any issues.

4. Ensure that all employees follow Concentra policies and procedures and that all laws, regulations and practices affecting Concentra are observed.

5. Make recommendations and/or participate with management in development of company policies, procedures, controls, and tests of control as necessary.

6. Coordinate and perform testing procedures to support management’s assessment of internal controls over financial reporting in accordance with the COSO Framework and Sarbanes-Oxley Act, including the generation and evaluation of audit workpapers.

7. Set the direction and coordinate work through use of external professional assistance and internal resources.

8. Maintain knowledge of current accounting and auditing practices and regulations.

9. Provide assistance to external auditors as needed to enhance the overall audit process.

10. Assist in special projects and investigations at the request of the Audit Committee or company management.

11. Obtain an understanding of company policies and procedures and identify the need for policies that do not currently exist to provide additional support to executive management.

12. Review financial and operational procedures for economy, efficiency and effectiveness to produce a cost –benefit analysis and strengthen internal controls.

13. Review and assess the reliability and integrity of financial and operational information by performing detail test sand analysis.

14. Attract, develop and retain skilled and motivated staff.

One of the visions for this role is to create a development program to build accounting and financial resources for the Company who may be moved into direct operating positions throughout our organization. Accordingly, it is our goal that the Internal Audit Director will gradually build an effective internal audit staff.

Travel may be periodically necessary to perform various audit projects.

Experience Requirements

The Company is seeking a dynamic professional with 7-10 years of related accounting and auditing experience, with recent responsibilities in a senior Internal Audit leadership role, preferably in a public company. A CPA and/or CIA is strongly preferred A CISA and/or knowledge of Information Systems auditing is also preferred.

This work requires considerable expertise in the areas of internal and external auditing, including financial and operational audit functions. The successful candidate will have:

1. Expertise in internal control design and operation for key business processes.

2. A full breadth of understanding of sub-processes and supporting IT infrastructures.

3. A keen understanding of accounting principles and requirements as an SEC registrant.

Internal Auditor

REPORTS TO: OIS Director of Internal Audit

POSITION SUMMARY:

This position performs Internal Audit activities for the corporation on a world wide basis. The Internal Auditor will conduct financial, operational, and compliance audits to determine adequacy of internal controls, as well as to determine the efficiency and effectiveness of financial, administrative, and operational concerns within the corporation. This person will be required to make appropriate recommendations for improved internal controls and improved accounting and operating procedures and in doing so will interact with all levels of employees and management. This position is to be performed with limited supervision and will require 50% to 70% travel.

ESSENTIAL DUTIES AND RESPONSIBILITIES:

  • Performs audits; tests for compliance with applicable Financial & Administrative Policies and Procedures, State and Federal laws and regulations and contractual requirements; evaluates systems of internal controls, the adequacy of accounting records, and system design.
  • Coordinates post-field work activities related to each audit including discussions with management, preparation of report, review of management responses, and any lack of compliance reporting.
  • Develops, updates, and revises the department's audit manual. Serves on projects and committees reviewing proposed, revised, and/or new systems as assigned.
  • Serves as a consultant to other departments when questions pertaining to internal control or procedures requirements arise.
  • Establishes and maintains effective working relationships with all employees and management.
  • Fulfills requirements necessary to maintain certification as active Certified Public Accountant or Certified Internal Auditor.
  • Performs other related duties as assigned.

QUALIFICATION REQUIREMENTS:

Minimum Qualifications

  • Bachelor's degree in accounting or related field required; master's degree preferred.

Accounting Compliance Manager

Description

The Compliance Manager is responsible for establishing and managing the Corporate Sarbanes-Oxley Section 404 Compliance Program and for oversight of the business units compliance with the Program's requirements.

  • Education and Typical Years of Experience

A bachelor's degree in Accounting or related financial field is required. Certified Internal Auditor (CIA) and/or Certified Public Accountant (CPA) preferred. Minimum five years experience in public accounting or a large company internal audit department. Experience evaluating and testing internal controls over financial reporting preferred. Working knowledge of the Sarbanes-Oxley Act required. Special Requirements: Demonstrate strong accounting, auditing and analytical skills. Communicate effectively, both orally and in writing. Effectively manage multiple projects simultaneously; project management background desired. Demonstrate discretion and independent judgment. Technical Competency: Proficiency in the use of PC and related software applications. Advanced knowledge of Microsoft Office products required. Microsoft Visio and flowcharting experience a plus.

  • Special Requirements

1.Establish the Corporate Sarbanes-Oxley Section 404 Program Management Office. Assist in hiring and manage Corporate PMO staff. 2.Responsible for developing the overall reporting of, and documentation for, the results of testing the effectiveness of internal controls over financial reporting to support senior management's assertions on Internal Controls Over Financial Reporting. 3.Establish polices and procedures for the ongoing monitoring and testing of controls by the various business groups to ensure a consistent and appropriate methodology. 4.Monitor documentation, remediation and testing efforts by the business groups to ensure timelines are met. Provide reporting to ACS management on the status of these efforts. 5.Assist the business groups as needed with their documentation of internal control assessments and testing of controls. 6.Assist in determining key controls and developing the SOX testing plans. 7.Review and assess documentation, and provide guidance to business groups in assessing their internal controls. 8.Make recommendations to correct deficiencies identified through the evaluation of internal controls over financial reporting and effectiveness testing. 9.Perform independent testing related to the key controls. 10.Responsible for communicating issues to the Director-RAS. 11.Assist in the development of financial polices with regards to the Sarbanes-Oxley Act. 12.Maintain a working knowledge of the computer database tool used to store ACS's documentation of Internal Controls Over Financial Reporting. 13.Develop policies and procedures regarding access, back up, maintenance of prior testing results, etc. for the database tool. 14.Assist in maintaining the database tool used to document controls and testing performed. 15.Assist in coordinating the department's audit work with that of ACS' external financial auditors and the SOX requirements. 16.The position may also perform and manage process, compliance or financial audits of company entities in accordance with the overall RAS Audit Program. 17.Provide training to assigned auditors relative to the requirements of SOX and the approach used to assess internal control over financial reporting. May also provide training on Sarbanes-Oxley requirements to ACS managers and business unit compliance groups. 18.Perform assignments according to the Standards for the Professional Practice of Internal Auditing issued by The Institute of Internal Auditors (IIA). 19.Perform other duties as assigned. 20.Travel may be required.
